- Reports, team management, permissions, and other organizational features.
Features and limits may vary based on the plan, country, available channels, enabled integrations, and requirements of third-party providers.
3. Nature of the Service, Eligibility, and Business Use
The Service is intended for business use by companies, stores, organizations, and professional teams. The Service is not directed to children or personal use by minors.
You may use the Service only if you are at least 18 years old or have reached the legal age of majority in your country or place of residence, whichever is higher. If you use the Service on behalf of a company, store, or other entity, you represent that you have the legal authority to represent that entity and bind it to these Terms.
You must use the Service only for lawful and legitimate purposes within the scope of your business. You are responsible for ensuring that your use of the Service, including messages, campaigns, integrations, and End User data, complies with applicable laws, regulations, and policies.
4. Account Creation and Permissions
When creating an account or workspace, you must provide accurate and up-to-date information and keep your account, billing, and contact information current.
You are responsible for:
- Protecting login credentials, passwords, and access keys.
- Managing User permissions within your account.
- All activity that occurs through your account or through accounts of Users under your control.
- Notifying us immediately if you become aware of any unauthorized use, breach, or security risk.
We may refuse account creation, suspend access, or request additional information to verify identity, activity, or compliance where we believe it is necessary to protect the Service, users, partners, or Basyt.
5. Customer Responsibilities
You are solely responsible for how you use the Service and for your data, content, messages, campaigns, and integrations. This includes, without limitation:
- Ensuring the legality of collecting, using, and processing End User data.
- Obtaining any required consents or legal bases for sending messages, campaigns, or notifications.
- Honoring unsubscribe, opt-out, blocking, or do-not-contact requests.
- Complying with the policies of external channels such as Meta, WhatsApp, Instagram, Facebook, TikTok, Telegram, email providers, and SMS providers.
- Complying with data protection, privacy, electronic marketing, and communications laws in the markets where you operate.
- Ensuring that your Users have appropriate permissions and training to use the Platform.
- Reviewing automated messages, campaigns, and AI outputs where appropriate before using them.
- Not using the Service in a way that may cause harm to Basyt, channel providers, End Users, or third parties.
Basyt is not responsible for the legality of messages, campaigns, or data sent or processed by the Customer through the Service, except to the extent expressly required by applicable law.
6. Channels, Messages, and Campaigns
When using messaging channels, messages, or campaigns, you agree to comply with all policies and restrictions of channel providers, including consent requirements, approved templates, sending limits, quality rules, and users’ rights to stop messages.
Some channels or service providers may review, reject, delay, block, or suspend messages, templates, numbers, or accounts according to their own policies. Basyt does not guarantee the acceptance of any template, message, or campaign, or the continued availability of any particular number or channel.
You acknowledge that:
- Some messages may require prior consent from the End User.
- Some channels may impose response windows or require approved templates for outbound messages.
- Account quality, user complaints, or block rates may affect sending limits or channel availability.
- Channel, message, or conversation fees may be subject to the policies of channel providers and may change from time to time.
You may not use the Service to send spam, misleading, fraudulent, unauthorized, unlawful, or policy-violating messages.
7. Integrations and External Services
Basyt may allow integration with external platforms, tools, and services, such as commerce platforms, messaging channels, payment providers, AI providers, automation tools, team tools, or internal systems.
Your use of any external integration is also subject to that third party’s terms and policies. You are responsible for having the required permissions to connect those services to your account, complying with their terms, and managing any data or permissions granted through them.
Basyt does not guarantee that any external integration will remain available permanently or without changes. Third-party APIs, policies, requirements, or usage limits may change, which may cause some features to stop, become restricted, or be modified.
Basyt may modify, suspend, or remove any integration if necessary for security, legal, operational, or third-party provider reasons.
8. Commerce Integrations and Order Data
When connecting a store or commerce platform such as Salla, Shopify, or others, the Service may display or process data related to customers, orders, products, payment status, shipping status, links, or other information depending on the permissions granted and the available integration.
You are responsible for:
- Ensuring that you have the right to connect the store and process its data inside Basyt.
- Configuring integration permissions appropriately.
- Using order and customer data only for lawful purposes related to customer service or conversation management.
- Complying with the connected commerce platform’s terms and privacy policies.
Basyt is not responsible for the accuracy of data imported from an external platform if that data is inaccurate, delayed, or unavailable due to the third party or Customer settings.
9. Basyt AI and Automation
The Service may include AI-assisted or automation features, such as response suggestions, conversation summaries, knowledge document search, workflow improvement, routing, or helper tasks.
You acknowledge and agree that:
- AI outputs may not always be accurate, complete, or appropriate for every situation.
- Important or sensitive outputs should be reviewed by a qualified User before relying on them.
- AI should not be used to make automated decisions that materially affect individuals without appropriate human review where required by law.
- You must not submit data to AI features unless you have the right to use and share that data.
- The quality of AI outputs depends on the quality of the data, instructions, and documents you provide.
Basyt does not guarantee that AI outputs will be error-free, suitable for a specific purpose, or sufficient for legal or professional compliance in every case.
10. Prohibited Uses
You and your Users may not use the Service, directly or indirectly, to:
- Conduct unlawful, fraudulent, or misleading activity.
- Send spam, unauthorized messages, or messages that violate channel policies.
- Impersonate others or mislead End Users about the sender’s identity.
- Collect or process data without an appropriate legal basis.
- Violate privacy rights, intellectual property rights, or other rights of third parties.
- Upload or transmit malware, harmful files, or phishing links.
- Attempt unauthorized access to Basyt systems or other customer accounts.
- Conduct security testing, penetration testing, or bypass restrictions without prior written approval.
- Circumvent plan limits, billing systems, or usage restrictions.
- Sell, resell, sublicense, rent, or use the Service as an independent service provider for third parties without Basyt’s approval.
- Use the Service in a way that creates abnormal load or affects platform stability.
- Use the Service for content or activities prohibited by channel providers, payment providers, or applicable law.
Basyt may suspend, restrict, or terminate accounts, features, or channels that we reasonably believe violate these Terms or create risk for the Service, users, partners, or Basyt.
11. Plans, Fees, Billing, and Trials
Basyt may offer monthly plans, annual plans, custom plans, free trials, or promotional offers. Prices, features, and limits are described on the pricing page, checkout page, special offer, or separate agreement.
Plans may include limits such as the number of Users, active contacts, AI credits, documents, channels, integrations, or features. Basyt may update plans, features, or limits from time to time, subject to any existing commitments to subscribed Customers.
Basyt may offer trials, free offers, or discounted promotions at certain times. These trials and promotions are subject to the terms shown on the relevant pricing, offer, or checkout page. Offering a trial or promotion at one time does not obligate Basyt to provide it permanently or to all Customers.
You agree to pay all fees due for the plan or services you choose, including any taxes, additional fees, or usage fees that may apply.
12. Payment and Payment Providers
Payments may be processed through third-party payment providers. When you provide payment information, you authorize it to be used to collect fees due under the applicable plan, order, or agreement. Depending on how you purchase, your subscription may be billed directly by Basyt through a payment processor, through Paddle, or through a marketplace such as Salla, and the terms of the relevant provider apply to that transaction in addition to these Terms.
Where you pay directly by card through our payment processor, Basyt LLC is the seller and merchant of record for that transaction, and the payment processor acts only as a technical payment service provider. Where you purchase through Paddle, the following applies. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. In that case, the Paddle Buyer Terms and the Paddle Refund Policy also apply to that transaction, and your licence to use the Service is granted to you by Basyt LLC as supplier.
Basyt Chat sells B2B SaaS subscriptions only. Basyt does not process payments on behalf of the Customer's own End Users, hold funds on behalf of the Customer, or act as a merchant of record, marketplace, payment facilitator, payment aggregator, escrow provider, money transmitter, or financial institution in respect of the Customer's transactions with its own End Users. Any checkout links, payment actions, or payment-related data available through integrations are generated or processed by the Customer's own store or approved third-party payment provider, not by Basyt as a payment processor for the Customer's End Users.
Basyt does not intend to store full payment card details on its systems, and sensitive payment information may be processed by third-party payment providers, including Paddle, according to their terms and policies.
You are responsible for keeping your payment method updated, paying invoices on time, and providing accurate billing information. If fees cannot be collected, Basyt may restrict, suspend, or terminate access to the Service in accordance with these Terms.
13. Cancellation and Refunds
You may cancel your subscription through available account settings or by contacting support. After cancellation, access to paid features may continue until the end of the current billing period unless otherwise stated.
Unless required by applicable law, Basyt does not provide automatic refunds for paid fees, used periods, or successful renewals. However, Basyt may, at its discretion, review limited refund requests in cases such as a clear billing error, duplicate charge, material failure by Basyt to provide the Service, or a request related to a first payment without substantial use of the Service.
Channel fees, message fees, consumed services, third-party fees, annual plans, or custom contracts may not be refundable unless a separate agreement or applicable law states otherwise.
Additional details are subject to Basyt’s published Refund Policy.
For subscriptions purchased through Paddle, refunds are governed by the Paddle Buyer Terms and the Paddle Refund Policy, including their 14-day refund window, and nothing in this section limits those rights or any mandatory rights under applicable law.
14. Taxes and Additional Fees
Fees shown may exclude taxes, government charges, transfer fees, channel provider fees, message fees, conversation fees, or external service fees unless otherwise stated.
You are responsible for any taxes, fees, or financial obligations related to your use of the Service, your location, your business activity, or the channels you use.
15. Customer Data and Ownership
The Customer retains rights in Customer Data. Basyt does not claim ownership of the Customer’s data, conversation content, or End User data.
You grant Basyt a limited, non-exclusive license to process Customer Data only as necessary to:
- Provide and operate the Service.
- Enable channels and integrations selected by the Customer.
- Provide support and maintenance.
- Protect the Service and prevent abuse.
- Improve product reliability and performance.
- Comply with law or enforce these Terms.
You represent that you have the necessary rights, permissions, and consents to grant this license and process Customer Data through the Service.
16. Privacy, Data Protection, and Data Processing Agreement
Our Privacy Policy explains how we collect, use, share, and protect data. By using the Service, you agree to data processing in accordance with the Privacy Policy and any additional data processing terms or agreements that may apply.
For End User data, the Customer is often responsible for determining the purposes and means of processing, and Basyt acts as a service provider or processor according to the Customer’s instructions, depending on the context and applicable law.
You are responsible for providing appropriate privacy notices and obtaining required consents from End Users where necessary.
Where applicable laws require a data processing agreement or data processing addendum, including when Basyt processes personal data on behalf of the Customer, any data processing agreement published by Basyt or agreed in writing between the parties forms a supplemental part of these Terms. If there is a conflict between these Terms and the data processing agreement regarding personal data processing, the data processing agreement prevails only to the extent of that conflict.
Basyt may use service providers and subprocessors to help provide the Service, such as providers of cloud hosting, storage, channels, payments, artificial intelligence, automation, email, analytics, and security, while using appropriate measures to protect data according to the nature of the Service and applicable laws.
17. Confidentiality
Each party may receive non-public information from the other party, including business, technical, financial, operational, customer, or platform information.
Each party agrees to protect confidential information using reasonable care, to use it only for purposes of performing the relationship between the parties, and not to disclose it except to employees, advisors, or service providers who need to know it and are subject to appropriate confidentiality obligations.
Confidential information does not include information that becomes public without breach, was lawfully known to the receiving party, was independently developed, or was obtained from a third party without breach.
18. Intellectual Property Rights
Basyt retains all rights, title, and interest in the Service, including software, code, design, interfaces, trademarks, logos, text, graphics, databases, models, features, and workflows, excluding Customer Data.
These Terms do not grant you any right to use Basyt’s trademarks, logos, or marketing materials except with prior written approval or in accordance with guidelines we provide.
If you provide us with non-confidential suggestions, ideas, or feedback about the Service, we may use them to develop, improve, or operate the Service without obligation to pay compensation or grant you ownership rights. This does not apply to Customer Data, confidential information, or materials you own that are protected by existing intellectual property rights, except to the extent permitted by these Terms or expressly approved by you.
19. Beta and New Features
From time to time, we may provide experimental, early access, limited, or beta features. These features may be incomplete, subject to change, or discontinued at any time.
Beta features are provided as is and may not be subject to the same support, availability, or stability levels as general features. Your use of them is at your own risk and subject to any restrictions we specify.
20. Support, Maintenance, and Availability
We aim to provide a stable and reliable Service, but we do not guarantee that the Service will always be available without interruption or errors. The Service may be affected by maintenance, updates, network issues, channel provider restrictions, third-party changes, or events outside our control.
We may perform scheduled or emergency maintenance, which may result in temporary downtime or limitations on some features.
Support: [email protected]
21. Security
We use reasonable administrative, technical, and organizational measures to protect the Service and data. However, no internet-connected service can be guaranteed to be 100% secure.
You are responsible for using strong passwords, limiting permissions, managing Users, securing devices, and reviewing available security settings in your account.
We may suspend or restrict access if we suspect a security risk, unauthorized use, or abuse.
22. Suspension, Termination, Data Export, and Retention
Basyt may suspend, restrict, or terminate your access to the Service, in whole or in part, if:
- You violate these Terms or related policies.
- You fail to pay fees due.
- You use the Service in a way that may create legal, security, operational, or reputational risk.
- You violate channel provider or third-party policies.
- A channel provider or competent authority asks us to take action.
- Continuing to provide the Service to your account may expose Basyt, its customers, or its partners to risk.
Upon account termination, access to the Service and data may be restricted. Where the nature of the Service, plan, and technical settings allow, we may allow the Customer to export certain data from its account before termination or within a reasonable period after termination, unless the account is suspended due to a security risk, legal violation, abuse, or request from a competent authority.
After termination or account deletion, we may retain some data for a limited period where necessary for legal or accounting compliance, fraud or abuse prevention, dispute resolution, enforcement of agreements, security records, or proof that a deletion request was handled. Basyt aims to delete or deactivate unnecessary account data within a reasonable period according to the Privacy Policy and Data Deletion Policy, taking into account backups, technical retention cycles, and legal obligations.
The Customer may request data deletion or ask about export options by contacting [email protected].
23. Disclaimers
The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law. Basyt makes no express or implied warranties that the Service will be error-free or uninterrupted, or that results from using the Service will be accurate, complete, or suitable for a particular purpose.
Basyt does not guarantee:
- Acceptance or continued availability of any channel, number, template, or campaign by an external provider.
- Accuracy of data received from an external integration.
- Achievement of specific business or operational results.
- That AI outputs will always be correct or appropriate.
- That the Service will meet all of your requirements or the legal requirements specific to your business.
24. Limitation of Liability
To the maximum extent permitted by law, Basyt will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, whether arising in contract, tort, or otherwise, even if Basyt has been advised of the possibility of such damages.
To the maximum extent permitted by law, Basyt’s total liability for any claim arising from the Service or these Terms is limited to the amounts actually paid by the Customer to Basyt for the Service during the twelve months preceding the event giving rise to the claim, or five hundred U.S. dollars, whichever is greater, unless applicable law requires otherwise.
Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law, including liability for fraud, willful misconduct, or gross negligence where the law does not permit such limitation. These limits also do not affect rights that cannot legally be waived or limited.
25. Indemnification
You agree to indemnify and hold harmless Basyt, its directors, employees, suppliers, and partners from any claims, losses, damages, liabilities, costs, or expenses, including reasonable attorneys’ fees, arising from or related to:
- Your use of the Service in violation of these Terms.
- Customer Data, content, messages, or campaigns.
- Your violation of laws or third-party policies.
- Your violation of privacy rights, intellectual property rights, or other third-party rights.
- Your use of channels, integrations, or external service providers through your account.
26. Changes to the Service or Terms
Basyt may modify the Service, features, plans, or these Terms from time to time. We will post the updated version of the Terms on the website with a new “Last updated” date.
If we make a material change that significantly affects your rights or obligations, we will provide advance notice within a reasonable period before the change takes effect, and where practical, that period will be at least 30 days. Notice may be provided by email, within the Service, through a prominent website notice, or by another appropriate method. Advance notice is not required for non-material changes or changes required for legal, security, or urgent operational reasons.
Your continued use of the Service after the changes take effect means you accept the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel any subscription you have.
27. Laws and Business Compliance
You agree to comply with all applicable laws and regulations, including data protection, communications, anti-spam, anti-fraud, sanctions, export, and prohibited activity laws.
You may not use the Service if you are subject to sanctions or legal restrictions that prohibit dealings with Basyt, its providers, or its partners, or if your use of the Service is prohibited under applicable laws.
28. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflict of law rules, unless applicable law requires otherwise.
Before starting any formal proceeding, the parties agree to try to resolve any dispute arising from these Terms or the Service in good faith through direct communication. The party raising the dispute must send a written notice describing the nature of the dispute and proposed claims to [email protected] or to the other party’s official contact method. The parties will give each other 30 days to try to reach an amicable resolution.
If the dispute is not resolved amicably within that period, the parties agree, where permitted by law, to attempt to resolve the dispute through non-binding mediation with a mediator or mediation provider agreed by the parties, and the mediation may be conducted remotely where appropriate.
If mediation is unsuccessful or the parties do not agree on a mediator within a reasonable period, the dispute may be referred to binding arbitration or to a competent court as agreed in writing by the parties or according to applicable procedural rules. Until Basyt adopts a separate arbitration clause or a specific agreement with the Customer, the competent courts in the State of Wyoming, United States of America, have non-exclusive jurisdiction over disputes that are not resolved amicably or through mediation, unless applicable law requires otherwise.
This section does not prevent either party from seeking temporary relief, injunctive relief, or urgent protection from a competent court where needed to protect intellectual property, confidentiality, security, or to prevent abuse or unauthorized access.
29. Force Majeure
Basyt is not responsible for any delay or failure to perform due to events outside its reasonable control, including natural disasters, internet or power outages, cyberattacks, war, unrest, government actions, service provider failures, or changes to external platforms or channels.
30. Notices and Electronic Communications
You agree that Basyt may communicate with you electronically by email, inside the Platform, through website notices, or through other appropriate methods regarding your account, billing, security, updates, or legal matters.
You are responsible for maintaining a valid and up-to-date contact email in your account.
31. Assignment and Severability
You may not assign these Terms or transfer your rights or obligations without Basyt’s prior written approval. Basyt may transfer or assign these Terms in connection with a reorganization, merger, sale of assets, structural change, or operation of the Service through an affiliate or legal successor.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
Basyt’s failure to enforce any right or provision at a particular time does not constitute a waiver of that right or provision.
32. No Third-Party Beneficiaries
Unless these Terms expressly state otherwise, these Terms do not create any direct rights or benefits for any third party, and no person or entity that is not a party to these Terms may enforce any provision of them.
33. Relationship Between the Parties
These Terms do not create a partnership, agency, joint venture, or employment relationship between you and Basyt. You use the Service as an independent Customer, and you have no authority to represent Basyt or bind it to any obligation toward any third party.
34. Order of Priority
If you have a separate written agreement with Basyt that covers a specific subject, the provisions of that agreement may prevail over these Terms only to the extent of the conflict. Otherwise, these Terms, the Privacy Policy, Refund Policy, Data Deletion Policy, Cookie Policy, and any other published policies form part of the agreement between you and Basyt.
Where these Terms are available in multiple languages, we aim to keep the meaning consistent across versions. Unless applicable law or a written agreement states otherwise, the English version controls in the event of a conflict in interpretation.
